Clarifying Property Rights: Category-based Disposal to Cut Costs

Parcel Merger and Term Extension for the Anta Jinjiang Smart Industrial Park, Quanzhou

Sportswear maker Anta merged five adjacent industrial parcels bought between 2005 and 2024. A Jinjiang rule let the merged site take the longest remaining term (to 2074) rather than the shortest, for a top-up premium of CNY 6.4 million, and planning indicators were balanced across the merged site, raising the floor area ratio from 1.4 to 4.0.

1. Project Overview

The land of Anta (China) Co., Ltd. ("Anta") is in the central Chidian area and comprises five parcels, all obtained by Anta through land sales, totalling 137,575 square metres. To improve the quality and efficiency of industrial land and raise land-use efficiency, in January 2025 Anta began redeveloping its factory site as the Anta Jinjiang Smart Industrial Park, with total investment of CNY 2.2 billion and 320,000 square metres of floor space when complete.

2. Redevelopment Entity and Model

(1) Redevelopment entity

Anta's five parcels had different land-use terms. After merging the parcels and extending their terms, Anta is redeveloping the site as the Anta Jinjiang Smart Industrial Park, protecting the developer's rights.

(2) Why redevelopment was needed

The layout, buildings and capacity of Anta's existing site could no longer meet the needs for production, R&D, headquarters offices and staff living created by the group's rapid growth, and land efficiency and output lagged behind. Parts of the site also contained scattered houses and other non-productive land, so the overall land-use structure was poor and efficiency low.

(3) Redevelopment model

The 137,575-square-metre site required merger and term extension before redevelopment. The project uses a "company-led, government-supported" model, with a series of innovations — merging parcels and extending terms, raising the floor area ratio, and simulated approvals — to redevelop the site as the Anta Jinjiang Smart Industrial Park.

3. Results of the Redevelopment

(1) Exploring extensions for industrial land and better market-based allocation. Taking the pilot on reviving inefficient land as an opportunity, and addressing the different remaining terms of adjacent parcels, the Jinjiang Natural Resources Bureau and the Jinjiang Industry and Information Technology Bureau issued the Operating Guidelines for Extending Land-use Terms of Merged Industrial Parcels (Jinziranziguifan [2023] No. 1). This replaced the previous practice of setting the remaining term by the shortest term among adjacent parcels: companies acquiring several adjacent inefficient plots may, when developing them as a merged parcel, apply to extend the term to the longest among them. This further improves market-based allocation of land, protects companies' rights and promotes contiguous development.

(2) Coordinated layout and intensive, efficient land use. Based on the industry's characteristics and the park's location, the floor area ratio was raised to 4.0. After the five adjacent parcels were merged, planning indicators were planned as a whole, and floor space rose from 120,000 to 320,000 square metres. The park includes a science and innovation building, R&D building, office building, "new quality production" building, hotel-style staff apartments, a dining centre and a sports centre, with advanced automation and smart logistics systems that markedly improve production efficiency and supply-chain management.

(3) Integrating industry and city and creating high-quality industrial space. The project was designed by AECOM's international team, with construction drawings by Helidao, the strongest local design firm. It will form a low-carbon, green, smart base combining creation, production, research and supply, housing a global sports science laboratory, a global footwear sourcing centre and a digital smart factory, and serving as a key node in Anta's integrated global innovation system.

4. Key Practices

(1) Merging parcels and extending terms to protect rights

All five parcels are industrial land with different terms: 75,449 square metres obtained on 19 April 2005, expiring 19 April 2055; 7,303 square metres obtained on 19 January 2009, expiring 19 January 2059; 12,157 square metres obtained on 7 May 2014, expiring 7 May 2064; and 5,229 and 37,437 square metres obtained on 23 February 2024, expiring 23 February 2074. The five adjacent parcels already had property certificates, belonged to the same user, were included in standardized construction projects for industrial parks, were not in any near-term expropriation plan and had not changed use. The city government approved their merger and term extension, and supplementary clauses to the land transfer contracts were signed. The terms of three parcels (75,449, 7,303 and 12,157 square metres) were extended to 23 February 2074, for a land transfer payment of CNY 6.3983 million (the land was valued before and after the extension, and the increase in value was the amount payable).

(2) Coordinating indicators and raising the floor area ratio

1. Coordinated planning indicators. The Notice on Further Regulating the Division and Merger of Industrial Land (Jinziranziguifan [2024] No. 4) provides that when adjacent parcels are merged, the economic and technical indicators, the share of internal administrative and living facilities, setbacks, parking and other requirements may either be balanced as a whole across the transfer contracts of the original parcels or continue to apply to each parcel separately.

2. Simplified approval for higher floor area ratios. The Notice on Further Simplifying Construction Application Procedures for Industrial Companies Raising Floor Area Ratios sets the procedure as preliminary land review, technical assessment, signing a supplementary contract and obtaining the works planning permit, improving approval services for changes to planning indicators such as the floor area ratio.

3. Support for higher development intensity. Within the park site there were originally two factory buildings, four dormitories and one hall, totalling 190,000 square metres with a floor area ratio of 1.4. The indicators in each parcel's transfer contract differed; after the merger, revision of the regulatory plan and planning assessment optimized the indicators as a whole, raising the floor area ratio from 1.4 to 4 and floor space from 190,000 to 320,000 square metres.

(3) Simulated approvals for efficiency

1. Early pre-review. Technical guidance on the design began early, strengthening technical support at the front end. Making full use of the time taken by land procedures, technical review of the design was brought forward so that the developer had ample time to prepare for construction — project filing, construction drawings and their review.

2. One-stop technical consultation. Before design review, at the developer's request, the natural resources bureau convened the housing, civil affairs, water and utility departments to provide one-stop consultation at set times and places, enabling integrated handling and precise guidance.

3. "Subtraction" for industrial project designs. For projects subject to façade filing, only one drawing (the site plan) is required; for other projects the number of drawings (including design notes) has been cut from nearly 100 to about 10, and the joint review has been reduced to four departments and three working days. For the Anta park, design review was brought forward to run in parallel with the change of planning conditions, turning sequential approval into parallel approval. The "simulated approval" of the design was completed in five working days, saving the company about 45 days.

5. Policy Basis

(1) The Implementation Plan for the Comprehensive Reform Pilot for Market-based Allocation of Factors in Fuzhou, Xiamen and Quanzhou explores pilots for renewing the use rights of industrial and commercial land.

(2) The Notice of the Fujian Provincial Government on Eight Measures to Promote Economical and Intensive Land Use by Industrial Projects (Minzhengwen [2013] No. 246) provides that where additional storeys are added to factories on existing construction land, in line with planning and safety requirements and without change of use, raising the floor area ratio, no additional land price is charged and urban infrastructure fees are waived. The Jinjiang Policy Measures to Promote Revitalization of Inefficient Land (First Batch) (Jinpanhuoban [2023] No. 6) likewise support such projects with no additional land price or infrastructure fees.

(3) The Operating Guidelines for Extending Land-use Terms of Merged Industrial Parcels (Jinziranziguifan [2023] No. 1) support merged industrial land development, allowing parcels with shorter terms to apply for extension to the longest term among adjacent parcels.

(4) The Notice on Further Regulating the Division and Merger of Industrial Land (Jinziranziguifan [2024] No. 4) allows planning indicators of merged parcels to be balanced as a whole.

(5) The Notice on Further Simplifying Construction Application Procedures for Industrial Companies Raising Floor Area Ratios (Jinziranguifan [2022] No. 1) sets the procedure of preliminary land review, technical assessment, supplementary contract and works planning permit.

(6) The Implementation Plan for "Multiple Assessments in One, Simulated Approval" of Construction Project Designs in Jinjiang (Jinziranzi [2021] No. 249) follows the principles of "early involvement, multiple assessments in one, simulated approval and timely conversion".

(7) The Notice on Further Simplifying the Content of Architectural Design Schemes for Industrial Projects (Jinziranzi [2022] No. 346) applies to all industrial projects in Jinjiang applying for simulated approval or a works planning permit.
